Terms of Service

1. About these terms

These Terms of Service ("Terms") apply to your use of midwel.com ("the Website") and any commercial relationship you enter into with Hangzhou Midwel Intelligent Technology Co., Ltd. ("Midwel", "we", "us").

Midwel operates an authorized export office connecting international buyers with our certified manufacturing partner in China. We do not own or operate the manufacturing facilities directly; production is performed by our contracted manufacturing partner under our quality and compliance oversight.

2. Use of the website

You may browse midwel.com and submit forms for legitimate business inquiries. You agree not to:

• Submit false, misleading, or fraudulent information
• Attempt to access the website by automated means exceeding normal use
• Probe, scan, or test the vulnerability of our systems
• Reproduce, redistribute, or commercially exploit our content without written permission

3. Product information & pricing

All product specifications, MOQs, lead times, and pricing displayed on midwel.com are indicative and subject to confirmation by a signed Proforma Invoice (PI) or formal quotation. We do our best to keep information accurate, but reserve the right to correct errors.

Product images and descriptions represent our standard range; custom OEM/ODM specifications will be confirmed per inquiry.

4. Quotes, samples, and orders

• Quotations are valid for 30 days unless otherwise stated.
• Sample requests are subject to availability; sample fees and courier costs may apply and are non-refundable.
• Orders become binding only upon mutual signature of a Proforma Invoice and receipt of the agreed deposit (typically 30% T/T).
• Customs, duties, and import taxes in the destination country are the buyer's responsibility unless explicitly stated otherwise in the PI.

5. Manufacturing & quality

All products are manufactured by our certified manufacturing partner in accordance with:

• UN Recommendations on the Transport of Dangerous Goods (for aerosol pressure vessels)
• DOT 39 / EN 14800 / CE marking where applicable
• REACH, RoHS, SASO compliance for destination markets we serve
• ISO 9001 (Quality Management) and ISO 14001 (Environmental Management)

Pre-shipment inspection (PSI) is offered on request at the buyer's cost. Quality claims must be filed in writing within 14 days of receipt, with photographic evidence and batch numbers.

6. Shipping & delivery

Shipping terms follow the latest edition of Incoterms as agreed in the PI. Most orders ship FOB Ningbo or CIF destination port. Lead times are calculated from receipt of deposit and approved artwork, and are estimates rather than guarantees.

Risk of loss passes to the buyer according to the agreed Incoterm. Title passes upon receipt of full payment.

7. Payment

• Standard terms: 30% T/T deposit, 70% T/T balance against copy of B/L
• L/C at sight is accepted for orders above USD 50,000
• OEM/ODM tooling fees (mold / printing plates) are non-refundable once production has started

8. Intellectual property

All content on midwel.com — including product photos, technical drawings, trademarks, and copy — is owned by Midwel or used with permission. Buyers submitting artwork for OEM orders warrant that they own or are licensed to use the artwork; Midwel is not liable for IP infringement claims arising from buyer-supplied artwork.

9. Limitation of liability

To the maximum extent permitted by law, Midwel's total liability for any claim arising from a commercial relationship shall not exceed the amount paid by the buyer for the specific shipment giving rise to the claim. Midwel is not liable for indirect, consequential, or punitive damages.

10. Force majeure

Neither party is liable for delays or failure to perform due to events beyond reasonable control, including but not limited to: government action, port closure, pandemic, war, natural disaster, raw material shortage, or labor strike.

11. Dispute resolution

These Terms are governed by the laws of the People's Republic of China. Disputes shall first be resolved by good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in Shanghai, in English. The arbitral award is final and binding on both parties.

12. Changes

We may update these Terms. Material changes affecting existing buyers will be notified by email at least 14 days before taking effect.
